By accessing and using the Harvest Loop Japan platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

These terms apply to all users of the platform, including farmers, buyers, and visitors to our website.

Platform Description

Harvest Loop Japan operates as a cooperative marketplace connecting organic farms with consumers through direct ordering, seasonal subscriptions, and regional hub coordination. We facilitate transactions but do not directly sell agricultural products.

Our platform provides traceability tools, logistics coordination, and payment processing to support the farm-to-table supply chain.

User Accounts and Registration

To access certain features of our platform, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account or any other breach of security.

Orders and Transactions

When you place an order through our platform, you are entering into a direct transaction with the participating farm. We facilitate this transaction but are not a party to the sale contract between you and the farm.

All orders are subject to availability and acceptance by the farm. Prices, product descriptions, and availability are provided by the farms and may change without notice.

Payment Terms

Payment for orders must be made through our secure payment system. We accept various payment methods as displayed during checkout. Payment is due at the time of order placement unless otherwise specified.

We charge transaction fees and platform fees as disclosed during the ordering process. All fees are non-refundable except as required by law.

Delivery and Fulfillment

Delivery times and methods are coordinated through our regional hub network. While we strive to meet estimated delivery dates, we cannot guarantee specific delivery times due to the nature of fresh agricultural products.

Risk of loss and title for products pass to you upon delivery. You must inspect products upon delivery and report any issues within 24 hours.

Cancellations and Refunds

Order cancellation policies vary by farm and product type. Generally, orders can be cancelled up to 48 hours before the scheduled harvest date. Subscription boxes may have different cancellation terms.

Refunds for damaged or unsatisfactory products are handled on a case-by-case basis in coordination with the originating farm.

Farm Partner Responsibilities

Farms participating in our platform must maintain organic certification, provide accurate product information, and adhere to our quality and safety standards. Farms are responsible for the quality and safety of their products.

We reserve the right to suspend or terminate farm partnerships that do not meet our standards or violate these terms.

User Conduct and Prohibited Activities

You agree not to use our platform for any unlawful purpose or in any way that could damage, disable, or impair our services. Prohibited activities include but are not limited to fraud, harassment, and violation of intellectual property rights.

We reserve the right to suspend or terminate accounts that violate these terms or engage in prohibited activities.

Intellectual Property Rights

The Harvest Loop Japan platform, including its design, functionality, and content, is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

User-generated content remains your property, but you grant us a license to use it in connection with our services.

Limitation of Liability

To the maximum extent permitted by law, Harvest Loop Japan shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our platform or services.

Our total liability for any claim related to our services shall not exceed the amount you paid for the specific transaction giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Harvest Loop Japan from any claims, damages, or expenses arising from your use of our platform, violation of these terms, or infringement of any third-party rights.

Dispute Resolution

Any disputes arising from these terms or your use of our services shall be resolved through binding arbitration in accordance with Japanese law. The arbitration shall take place in Tokyo, Japan.

You waive any right to participate in class action lawsuits or class-wide arbitration.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Japan. Any legal action or proceeding shall be brought exclusively in the courts of Tokyo, Japan.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of material changes by posting the updated terms on our website and updating the "Last updated" date.

Your continued use of our services after any changes constitutes acceptance of the new terms.
